2. Scope and Application

These Terms and Conditions govern the mutual rights and obligations between the Seller and buyers (both consumers and entrepreneurs) arising from purchase agreements concluded via the online store at https://mlshop.cz.

A consumer is a natural person acting outside their business activity.
An entrepreneur is a person acting within their business activity.

Legal relations are governed by Czech law, in particular:

  • Act No. 89/2012 Coll., Civil Code

  • Act No. 634/1992 Coll., Consumer Protection Act

3. User Account

  • Buyers may register and create a user account.

  • Buyers are responsible for maintaining confidentiality of login credentials.

  • The Seller may cancel accounts in case of breach of obligations or inactivity longer than 12 months.

  • The Seller does not provide automated profiling or personalized commercial offers based on order history.

4. Product Information and Prices

  • All prices are listed including VAT.

  • Product listings are non-binding.

  • The Seller is not obliged to conclude a contract for goods displayed online.

  • In case of obvious pricing error, the Seller is not obliged to deliver goods at the incorrect price.

  • Discounts cannot be combined unless agreed otherwise.

5. Order and Conclusion of Contract

  • The order submitted by the Buyer is an offer to conclude a contract.

  • Automatic confirmation of order receipt does not constitute contract conclusion.

  • The contract is concluded only after the Seller confirms acceptance of the order.

  • The Seller may request additional order confirmation.

  • A tax invoice is issued electronically.

6. Delivery

  • Standard delivery time: 2 business days to 12 weeks, depending on product type.

  • Consumer delivery deadline: max. 30 days unless otherwise agreed.

  • Delivery methods: DPD, WEDO or agreed carrier.

  • Buyer must inspect packaging upon delivery.

  • Risk transfers upon receipt.

If goods are not collected within 21 days, the Seller may withdraw from the contract.

7. Payment Terms

Available payment methods:

  • Online payment gateway

  • Bank transfer

  • Advance invoice

The Seller may request 50% advance payment if:

  • Custom goods are ordered

  • Order exceeds CZK 10,000 including VAT

Late payment penalty (entrepreneurs): 0.03% per day.

Ownership transfers after full payment.

8. Withdrawal – Consumer (14 Days)

Consumers may withdraw within 14 days from receipt of goods under §1829 Civil Code.

Withdrawal is not possible for:

  • Custom-made goods

  • Perishable goods

  • Hygienically sealed goods once opened

  • Audio/video/software if seal broken

Refund is made within 14 days after receipt of returned goods.

9. Withdrawal – Entrepreneur

Entrepreneurs do not have automatic withdrawal rights.

Returns may be allowed individually.
Refund is not provided — exchange for other goods of equal or higher value is required.

10. Defective Performance (Complaints)

Consumers:

  • 24 months warranty period.

  • If defect appears within 12 months, presumed existing at delivery.

  • Seller must settle complaint within 30 days.

Entrepreneurs:

  • Must report defect without undue delay.

  • Maximum claim period: 6 months from delivery.

12. Final Provisions

  • Czech law applies.

  • The Seller reserves the right to amend these Terms.

  • Contract is archived electronically.

  • Buyer assumes risk of change of circumstances under §1765 Civil Code.

17.4. Spotřebitel může také využít platformu Evropské unie pro online řešení sporů:

Mimosoudní řešení sporů je pro spotřebitele bezplatné, poplatek může být účtován pouze v případě zneužití práv v souladu s platnými předpisy.

17.5. Tato doložka tvoří povinnou součást spotřebitelské smlouvy v souladu s právem Evropské unie a České republiky.
